Acceptance
By accessing or using InsightPilot's website, web application, or API ("Services"), you agree to these Terms. If you use the Services on behalf of a company, you represent you're authorized to bind that company. The Services are designed for business use by treasury, finance, and accounting professionals.
Service Description & Availability
InsightPilot provides AI-powered FX trade confirmation reconciliation services for mid-market treasury teams, including:
- Automated parsing of SWIFT MT300/MT304 messages and bank confirmation PDFs
- AI-assisted matching of FX trades (spots, forwards, swaps, NDFs) against ERP/TMS records
- Natural language explanations for reconciliation breaks
- Audit-ready reporting and exception management workflows
- Integration with ERP systems (Sage X3, SAP Business One, Microsoft Dynamics 365, NetSuite)
- PSD2-compliant bank connectivity for automated statement retrieval
Availability is on a commercially reasonable basis. Maintenance, updates, or incidents may interrupt access. We'll endeavor to minimize disruption and provide advance notice when practical.
AI/ML Features
Certain features within the Services use algorithmic analysis, artificial intelligence, and machine learning technologies ("AI/ML Features"), including:
- Document Parsing: AI-powered extraction of structured data from SWIFT messages and bank confirmation PDFs
- Fuzzy Matching: Embedding-based matching algorithms that learn from user-approved matches to improve accuracy
- Anomaly Detection: Pattern recognition to flag unusual trade patterns, potential rate discrepancies, or unauthorized trades
- Natural Language Generation: AI-generated explanations for reconciliation breaks and audit narratives
Output Accuracy Disclaimer: AI/ML outputs are assistive and should be reviewed by qualified treasury personnel before settlement decisions. We do not guarantee 100% accuracy. You acknowledge that machine learning outputs may occasionally produce incorrect matches or miss discrepancies. Human review of exceptions and flagged items is required.

Accounts & Credentials
- You're responsible for maintaining the confidentiality of your credentials and all activity under your account.
- Notify us promptly of any suspected unauthorized access or security incident.
Acceptable Use & Restrictions
You agree to use the Services only for lawful business purposes. You will not:
- Engage in unlawful, infringing, or harmful activity; attempt to disrupt or degrade the Services
- Reverse engineer (except where permitted by law), scrape at scale, or automate data extraction
- Use the Services to build a competing product or to violate third-party rights
- Use the Services to manipulate FX markets, circumvent economic sanctions, or process transactions involving sanctioned entities or jurisdictions
- Submit false trade data or attempt to generate fraudulent reconciliation reports
- Bypass or circumvent any security controls, authentication mechanisms, or access restrictions
Suspension
We may suspend access (account-level or feature-level) with notice if we reasonably believe there's a material breach, security risk, legal requirement, or abusive activity. We'll aim to notify and restore once resolved.
Engagements & Fees
Demo requests and website use do not create a client relationship. Any paid engagement is governed by a separate agreement (e.g., MSA/SOW/NDA). If fees are applicable in the app in the future, payment terms will be supplied at checkout or in an order form.
Confidentiality
Non-public information you share with us—including FX trade details, bank confirmations, counterparty relationships, and reconciliation results—is treated as confidential and used solely to provide the Services. We implement appropriate technical and organizational measures to protect your confidential information, subject to any NDA or written agreement.
Intellectual Property
The Services, site materials, and underlying technology are owned by InsightPilot or our licensors. Subject to an engagement agreement, you receive a limited license to use deliverables for internal treasury operations.
Feedback, Usage Data & Model Training
- Feedback: If you provide suggestions or feedback, you grant us a royalty-free license to use them to improve the Services.
- Usage Data: We collect aggregated, anonymized usage metrics (feature utilization, performance data, error rates) to operate, secure, and improve the Services. This data does not include your FX trade details or reconciliation results.
- No Training on Your Confidential Data: We will NOT use your confidential FX trade data, bank confirmations, counterparty information, or reconciliation results to train generalized AI models that benefit other customers. Customer-specific model improvements (e.g., learning your rate tolerance patterns) remain isolated to your account and are not shared. Any fine-tuning on your data requires explicit written agreement.
- Model Ownership: InsightPilot owns all intellectual property rights in its AI/ML models, algorithms, and improvements thereto, including any improvements derived from aggregated, anonymized usage patterns.
Data Processing Addendum
Enterprise customers requiring a Data Processing Addendum (DPA) for GDPR compliance may request execution of our standard DPA, which includes Standard Contractual Clauses (SCCs) approved by the European Commission for international data transfers. Contact [email protected] to request a DPA.
Third-Party Services
We may reference or integrate third-party tools. Their terms govern their services; use them at your discretion.
Warranties & Disclaimers
The Services are provided "as is." We disclaim all implied warranties (merchantability, fitness, non-infringement). Reconciliation outputs are AI-assisted professional tools based on the data you provide and publicly available market data. They do not constitute financial, legal, or investment advice. You are responsible for verifying reconciliation results before acting on them, particularly for settlement decisions.
Limitation of Liability
To the maximum extent permitted by law, we're not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits. Our aggregate liability under these Terms will not exceed the greater of (a) fees you paid to us in the three (3) months preceding the claim, or (b) €1,000.
Indemnification
You will defend and indemnify InsightPilot from claims arising out of your use of the Services in violation of these Terms or applicable law.
Subcontractors
We may use vetted subprocessors (e.g., hosting, email delivery, analytics) and remain responsible for their performance.
Changes to the Services or Terms
We may update features or these Terms; updates are effective upon posting here (material changes will be highlighted). Continued use constitutes acceptance.
Force Majeure
Neither party is liable for delays/failures due to events beyond reasonable control (e.g., internet outages, DDoS, power failures, natural disasters).
Assignment
You may not assign these Terms without our consent. We may assign as part of a merger, acquisition, or sale of assets.
Governing Law
These Terms are governed by the laws of France, with exclusive jurisdiction in the courts of Paris, France.
